Image Usage License Agreement

This Image Usage License Agreement (the "Agreement") is entered into by and between Stellastra Ltd, henceforth referred to as 'Stellastra', headquartered at 167-169 Great Portland Street, London, W1W 5PF, United Kingdom, registered in England as company 14409839, and You. If You are entering into this Agreement on behalf of an Organization, You hereby represent and warrant that You have the authority to bind Organization to the terms and conditions set forth herein. In such cases, references to "Licensee", "You" or "Your" within this Agreement shall also include the Organization, and Your obligations and responsibilities as outlined in this Agreement shall extend to Organization as well. This Agreement governs the use of the image described below:

Understanding of what the award is: A recognition that a company is adherring to certain cyber security principles as understood by Stellastra. These principles include, but are not limited to, the following protocols: Sender Policy Framework (SPF), Domain-based Message Authentication, Reporting and Conformance (DMARC), Mail Transfer Agent - Strict Transport Security (MTA-STS), Vulnerability Disclosure Policy, Transport Layer Security Reporting (TLS-RPT), Hypertext Transfer Protocol Secure (HTTPS), Certificate Infrastructure, and HTTPS Strict Transport Security (HSTS). The exact weighting of the Award is calculated by Stellastra, and other users may disagree with the exact weight that should be given to each. Furthermore, with any protocol or specification there is grounds for disagreement and misinterpretation. What the award is not:

A statement of whether you should or should not engage with or do business with any Organization.
A comprehensive scan of all of an Organization's cyber security infrastructure and policies.

In all cases, anyone who wishes to engage with an Organization should do their own due diligence.

Image Description: The "Image" - A shield-like structure stating "Cyber Security [Gold/Silver/Bronze] [Year] Stellastra". Usage: You represent that you are using the main domain associated with your company. That is, you may not use an obscure alternate domain to represent the main company. For example, if the website with the most traffic uses example.com, then the .co.nz alternate domain cannot be represented as the main site. You agree that Stellastra may check this. This license pertains specifically to the [Year] [Gold/Silver/Bronze] Award, and the Image associated with it. Licensee is granted a non-exclusive, non-transferable, and revocable license to use the above-described image (the "Image") solely for the purpose of showcasing and promoting the [Year] [Gold/Silver/Bronze] Award received by Licensee. This Award may be showcased in the same media that you would promote your brand in, including digital, print, radio, physical, and media.

Usage Limitations:

You must always make clear the year in which you achieved your Award. For example, if you achieved Stellastra Gold in 2023, then this does not carry forward to 2024, although you may continue to showcase the 2023 award. The reasoning behind this is that Stellastra constantly refines its criteria to follow the latest security standards.

Forbidden Usage:

"We are Stellastra Gold accredited".
"We have won Stellastra Gold" - Forbidden in isolation without stating the year.

Approved Usage:

"We achieved Stellastra Gold in 2023"
"In 2023 we won the Stellastra Gold award."

Licensee may not sublicense, sell, redistribute, or otherwise make the Image available to third parties without prior written consent from Licensor. Licensee may not use the Image for any unlawful, defamatory, or obscene purpose. Furthermore, Licensee must not be involved in any illegal, unethical, defamatory, or obscene acts. Licensee may not alter, modify, or manipulate the Image in any way that could damage the reputation of the Licensor or misrepresent the subject matter of the Image. You may wish to showcase the award in other languages. Please contact awards@stellastra.com. Licensee may not claim ownership of the Image or portray it as the work of Licensee. Attribution: According to the no-modification limitations above, the Award must not have the Stellastra name and logo removed or altered in anyway. Award Renewal: Licensee acknowledges that the usage rights granted for the [Year] [Gold/Silver/Bronze] Award and associated Image are valid only for the specific year indicated. You may continue to use the Award in subsequent years, but you must return to Stellastra to create a new Award if you wish to update the award for future years. For example, a company that has won Stellastra Gold 2023, may become Stellastra Silver 2024 as the criteria of Stellastra is constantly updated. In any case, you must never modify the Award yourself and use only that generated for you by Stellastra.

Revocation:

Stellastra may revoke the award for any reason, including but not limited to:

Where the award has been used for obscene, defamatory, unethical, or illegal purposes.
Where an Organization has misrepresented its main domain, for example, by using a lesser known and obscure alternate domain in place of their main domain.
Where an Organization has erroneously claimed the wrong award. I.E., for mistaking their entitlement to Stellastra Gold 2023 instead of, for example, Stellastra Bronze 2023.

Term and Termination:

This license is effective from the date of acceptance by Licensee and shall continue until terminated by either party. Licensor reserves the right to terminate this license in the event of Licensee's breach of any terms outlined in this Agreement. Upon termination or the conclusion of the award year, Licensee must immediately cease all use of the Image.

Indemnification:

Licensee agrees to indemnify and hold Licensor harmless from any claims, liabilities, damages, and expenses arising out of or relating to Licensee's use of the Image.

Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

By accepting and using the Image, Licensee acknowledges that they have read, understood, and agreed to the terms and conditions outlined in this Agreement.
